Venture Capital Fund Administration

NorthMountain Fund Services is a boutique fund administration firm providing back-office and middle-office support to venture capital firms and other private investment managers.

Based in the San Francisco Bay Area, our partner-led team has extensive experience across venture capital, fund accounting, audit, portfolio management, and investment operations. We work closely with each client to understand its fund structure, investor base, reporting requirements, and operating processes.

Our Approach

Partner-Level Involvement

NorthMountain operates with a partner-led service model. Our clients have direct access to experienced professionals who are familiar with their funds, transactions, and reporting history.

This structure also supports continuity over the life of a client relationship. Key accounting history, fund-specific considerations, and institutional knowledge are maintained within the team, reducing disruption when individual team members change.

Our objective is to provide consistent, well-informed support and to address accounting and operational matters with appropriate context and professional judgment.

Venture Capital Experience

Our founding partners each have more than 20 years of experience across venture capital, fund administration, fund accounting, audit, portfolio management, and investment operations.

Our experience includes venture capital funds, SPVs, fund-of-funds, corporate ventures, series LLCs, parallel funds, master-feeder structures, foreign investments, complex exits, distribution waterfalls, and other specialized investment structures.

This experience helps us evaluate transactions within the broader context of fund accounting, portfolio activity, investor reporting, and fund economics rather than treating each item as an isolated processing event.

Client-Specific Administration

Fund structures and operating practices vary considerably across investment managers. Our approach is therefore not based on a single standardized workflow.

We establish processes based on each client's organizational structure, reporting requirements, internal responsibilities, and preferred working methods. Our team works directly with client personnel on both routine administration and matters requiring additional accounting or operational consideration.

As fund structures and reporting requirements change over time, we work with clients to update those processes accordingly.

Investor Reporting and Support

We support managers with investor bases that include high-net-worth individuals, family offices, and institutional investors.

For private wealth investors, this may include support related to financial reporting, capital accounts, investment activity, and stock distributions.

For institutional investors, our work may include detailed financial reporting, PCAPs, audit confirmations, portfolio information, and customized reporting requested as part of diligence and ongoing monitoring.

Our role is to help ensure that investor information is prepared consistently and that the underlying accounting and fund records support the reporting provided.

Who We Serve

NorthMountain primarily works with venture capital firms, corporate ventures, fund-of-funds, SPVs, series LLCs, and SEC-registered investment advisers.

Our clients are supported by a range of investors, including family offices, high-net-worth individuals, and institutional limited partners.

Our service model is particularly appropriate for managers that value experienced accounting judgment, direct access to senior professionals, continuity of institutional knowledge, and a service provider familiar with the operational requirements of venture capital funds.

Our Services

NorthMountain provides back-office and middle-office support throughout the fund lifecycle, including fund and management company accounting, investment activity, capital calls and distributions, investor and financial reporting, cash and expense processing, portfolio information management, valuation support, performance and portfolio analytics, and institutional LP reporting.

We also coordinate with auditors, tax professionals, and other service providers in connection with annual audits, tax reporting, and other fund-related requirements. This allows accounting records, supporting documentation, and relevant fund information to be maintained and communicated consistently across the fund, related entities, and management company.

NorthMountain does not perform audits, prepare tax returns, or provide legal, tax, compliance, or HR advice.

Continuity and Long-Term Support

Fund administration requires an understanding not only of current activity, but also of the accounting history and circumstances behind prior transactions and decisions.

Our clients entrust us with sensitive financial information, investor records, and important day-to-day operations. We maintain that information with care and work to preserve the knowledge and context necessary to support each fund consistently over the life of the fund.
